These Terms of Use ("Terms") form an agreement between you and Triple Point Strategy LLC ("TPS," "we," "us," or "our") regarding the Website. Please also review our Privacy Policy.
01 Acceptance and eligibility
By accessing or using the Website, you acknowledge that you have read and agree to these Terms. If you do not agree, do not use the Website. You must be legally capable of entering into this agreement. If you use the Website for an organization, you represent that you have authority to bind that organization, and "you" includes it.
The Website is intended for a general adult audience. Access from a jurisdiction where the Website or its content is unlawful is prohibited. You are responsible for compliance with laws applicable to you and for the equipment, connectivity, and security needed to access the Website.
02 Website scope and operator
TPS operates the public website at triplepointstrategy.com, including its Research, Fund, Solutions, Team, Contact, and legal pages. These Terms apply to that Website and its public machine-readable resources.
Separate agreements may govern a newsletter provider relationship, a Fund subscription, investor onboarding or administration, consulting, employment, or another relationship with TPS or an affiliate. If these Terms conflict with a signed agreement or definitive Fund document concerning that relationship, the signed agreement or definitive document controls for that subject.
03 Informational and educational content
Website content is provided for general informational and educational purposes. It is not individualized investment, financial, legal, accounting, or tax advice and is not a recommendation to acquire, dispose of, hold, or vote any asset or security.
Examples, diagrams, portfolio concepts, market observations, and references to digital assets or protocols do not account for your objectives, financial condition, risk tolerance, liquidity needs, tax position, legal restrictions, or other circumstances. Consult qualified advisers before acting.
04 No professional or fiduciary relationship
Visiting the Website, subscribing to research, sending an email, or interacting with an inquiry interface does not create an investment-advisory, client, fiduciary, attorney-client, accountant-client, partnership, joint-venture, agency, or other professional relationship with TPS, Marietta DeFi Fund LP, a general partner, or an affiliate. Any such relationship can arise only under an applicable written agreement.
Nothing in these Terms states or determines the registration, exemption, or regulatory status of TPS, the Fund, or an affiliate. Those matters are governed by applicable law, regulatory filings, and the definitive documents relevant to a particular activity.
05 Marietta DeFi Fund LP and offering information
The Website provides general information about Marietta DeFi Fund LP and currently identifies the offering as being conducted under Rule 506(c). Website content is not a substitute for definitive offering documents and is not, by itself, an offer to sell or a solicitation to buy a Fund interest in any jurisdiction where an offer or solicitation would be unlawful.
Any offer is made only through the Fund's then-current definitive offering and subscription documents, including any memorandum, partnership agreement, supplements, and subscription materials made available for that purpose. Those documents contain terms, fees, expenses, conflicts, eligibility requirements, transfer restrictions, redemption provisions, and risk disclosures that are more complete than Website summaries and control over them.
The Website states that the offering is available only to verified U.S. accredited investors, subject to eligibility review and General Partner acceptance. TPS and the issuer may reject an inquiry or subscription, request documentation, change or withdraw an offering, or impose additional requirements as permitted by the definitive documents and applicable law.
06 Inquiries, indications of interest, and eligibility
An inquiry, indication of interest, self-reported investor category, proposed investment amount, or Website interaction is not a subscription, commitment, reservation, allocation, acceptance, or verification of accredited-investor status. No person may rely on an on-screen label or form selection as an eligibility determination.
No investment is complete until all required documentation has been delivered and accepted, eligibility has been verified as required, funds or assets have been received in an authorized manner, and the General Partner has accepted the subscription. Do not send subscription funds, private keys, seed phrases, passwords, or identity documents through the public Website or ordinary email.
07 Investment and digital-asset risks
Fund interests and digital-asset strategies are speculative, may be illiquid, and involve a substantial risk of loss, including loss of all invested capital. There is no assurance that an investment objective, return target, income objective, diversification benefit, risk-management process, or redemption plan will be achieved.
Risks may include, among others:
- extreme price volatility and concentrated market exposure;
- limited liquidity, transfer restrictions, gates, suspensions, or delayed redemptions;
- loss, theft, compromise, or unavailability of private keys or custody arrangements;
- smart-contract bugs, protocol exploits, oracle failures, bridge failures, and governance attacks;
- validator, staking, slashing, liquidation, leverage, and collateral risks;
- counterparty, exchange, custodian, lender, stablecoin, and service-provider failure;
- network congestion, forks, upgrades, outages, cyberattacks, and technological obsolescence;
- valuation uncertainty, fragmented trading, manipulation, fraud, and limited historical data;
- changing laws, enforcement positions, tax treatment, accounting rules, and market access; and
- operational, personnel, banking, insurance, geopolitical, and force-majeure risks.
This list is illustrative, not exhaustive. Prospective investors must review the definitive Fund documents and must be able to bear the liquidity and holding-period risks described in those documents, including a possible complete loss. Digital assets and Fund interests may not receive protections associated with bank deposits or conventional brokerage accounts.
08 Research, opinions, and source material
Research reflects TPS's analysis, estimates, assumptions, and opinions as of the date stated. Views may change without notice as facts, markets, protocols, or law change. TPS has no duty to update a piece merely because later events make it incomplete, inaccurate, or inconsistent with a current view, except as required by law.
TPS may rely on public information, issuer or protocol materials, third-party data, interviews, and other sources believed useful, but does not guarantee their accuracy, completeness, timeliness, or independence. A reference, link, logo, trademark, or quotation does not imply endorsement by TPS or by the referenced party.
TPS, its principals, the Fund, and related persons may hold, transact in, research, or have other interests in assets, protocols, issuers, or service providers discussed on the Website, subject to applicable duties and policies.
09 Forward-looking information
Statements about expectations, theses, adoption, regulation, market structure, portfolio effects, future events, or potential performance are forward-looking and inherently uncertain. Words such as "may," "could," "expect," "believe," "estimate," "intend," "plan," "seek," and similar terms may identify them, but their absence does not make a statement certain.
Actual outcomes may differ materially because of known and unknown risks, assumptions, market conditions, regulatory developments, operational events, and other factors. Past performance, historical adoption, backtests, examples, and hypothetical results do not guarantee future results.
10 Market data and displayed prices
Market information displayed in the Website rail is obtained by TPS's server from CoinMarketCap. It may be delayed, stale, unavailable, incomplete, incorrectly formatted, or inaccurate. It is shown as a general reference, is not an executable quote or valuation, and should not be the sole basis for an investment, trading, tax, accounting, or reporting decision.
TPS may change assets, providers, calculation methods, refresh intervals, or presentation without notice. Where a data source imposes separate attribution or use terms, those terms also apply to the source data.
11 Intellectual property and limited license
The Website, its design, TPS-created text, graphics, organization, selection, compilation, software, and trademarks are owned by TPS or used with permission and are protected by applicable intellectual-property laws. Third-party materials, names, logos, data, and trademarks remain the property of their respective owners.
TPS grants you a limited, revocable, nonexclusive, nontransferable license to access the Website and use its content for personal, internal, informational, and noncommercial purposes. You may link to public pages and quote reasonable excerpts with clear attribution and a link to the source. You may not remove notices, misrepresent authorship, republish a substantial portion, sell or sublicense content, or create a confusingly similar service without prior written permission or another lawful basis.
If you voluntarily send feedback about the Website, you grant TPS a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided TPS does not acquire ownership of personal information merely because it appears in feedback.
12 Automated access and machine-readable resources
TPS publishes certain crawler, sitemap, feed, and machine-readable research resources. Automated access must comply with the Website's current robots policy, these Terms, applicable law, and reasonable rate limits. Publication of a resource does not waive intellectual-property or database rights.
You may not use automation to bypass access controls, evade rate limits, impair availability, probe for vulnerabilities, collect nonpublic information, impersonate a user, or create a misleading TPS-branded product. TPS may restrict automated traffic that threatens security, stability, provider limits, or lawful interests.
13 Acceptable use
You agree not to:
- use the Website for fraud, unlawful solicitation, market manipulation, harassment, or rights infringement;
- introduce malware, malicious code, deceptive inputs, or content designed to interfere with the Website;
- attempt unauthorized access to accounts, systems, credentials, private endpoints, or provider infrastructure;
- circumvent technical restrictions, security controls, eligibility processes, or subscription safeguards;
- misrepresent TPS content as personalized advice, a guaranteed result, an accepted subscription, or an official regulatory statement;
- use TPS names or marks to imply sponsorship, endorsement, or affiliation without permission; or
- interfere with another person's use or with the integrity, availability, or security of the Website.
14 Newsletter and inquiry interfaces
If newsletter signup is configured, submitting an email initiates a double-confirmation process. You may unsubscribe through a newsletter link. Delivery is not guaranteed, and TPS may suspend or discontinue a subscription for security, abuse, legal, or operational reasons. The server first asks Beehiiv to create or reactivate the subscription and, after acceptance, sends a signed server-to-server subscriber notification through Google Apps Script. Newsletter content remains subject to these Terms.
Before hydration and when JavaScript is disabled, the Contact, investment inquiry, and newsletter forms use a static non-network dialog method. After hydration, they send only to same-origin TPS server routes. Contact and investment inquiry routes validate exact fields and allowed values, enforce origin, privacy, size, anti-spam, and rate-limit controls, then use a signed server-to-server Google Apps Script relay to deliver an email to configured TPS-domain recipients. Required endpoints, signing material, provider credentials, and other runtime secrets remain server-side and are not included in browser code.
If required configuration is absent or a provider or relay fails, the affected form fails closed and does not report completed delivery. A form submission is only a communication request. It does not create an advisory or fiduciary relationship, establish investor eligibility, constitute an offer or subscription, or alter the requirements and disclaimers in Sections 05 and 06.
15 Third-party services and links
The Website links to or depends on third-party services, including hosting infrastructure, Beehiiv, Google Apps Script, Google Workspace, CoinMarketCap, social networks, research sources, and external websites. Those services are operated by entities outside TPS's control and apply their own terms, policies, availability standards, and security practices. A link is provided for convenience or source context and does not constitute an endorsement, warranty, partnership, or assumption of responsibility.
TPS is not responsible for third-party content, products, representations, outages, data practices, or transactions. Review the third party's terms and privacy notice before providing information or acting through its service.
16 Availability, changes, and warranties
TPS may add, remove, correct, redesign, suspend, restrict, or discontinue any Website feature or content at any time. TPS does not promise that the Website will be uninterrupted, error-free, secure, compatible, current, or free of harmful components, or that an error will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TPS DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND RESULTS.
Some jurisdictions do not allow certain warranty exclusions. In that case, an exclusion applies only to the extent permitted, and you retain non-waivable rights.
17 Limitation of liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TPS AND ITS AFFILIATES, FUNDS, PRINCIPALS, PERSONNEL, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR USE; OR DAMAGES ARISING FROM RELIANCE ON WEBSITE CONTENT, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
To the maximum extent permitted by law, TPS's aggregate liability arising from or relating to the public Website will not exceed the greater of one hundred U.S. dollars or the amount you paid TPS specifically for Website access during the twelve months before the event giving rise to the claim. This limitation does not limit obligations under a separate written agreement and does not exclude fraud, willful misconduct, liability under applicable securities laws, or any liability that cannot lawfully be limited or waived.
To the extent permitted by law, you agree to indemnify and hold harmless TPS and its affiliates, principals, personnel, and service providers from third-party claims and reasonable costs arising from your unlawful use, material violation of these Terms, or infringement of another person's rights. This obligation does not apply to the extent a claim results from the indemnified party's own fraud, willful misconduct, or non-waivable liability.
18 Applicable law, separate agreements, and general terms
These Terms are subject to applicable law and do not waive rights or obligations that cannot lawfully be waived, including under applicable securities laws. Definitive Fund documents and other signed agreements contain their own governing-law, venue, dispute, notice, and other provisions; those provisions govern disputes within their scope. Website disputes not covered by a separate agreement remain subject to applicable choice-of-law principles and the jurisdiction of a court with lawful authority.
If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. A failure to enforce a provision is not a waiver. Headings are for convenience. You may not assign these Terms without TPS's written consent; TPS may assign them in connection with a reorganization, financing, transfer of the Website, or similar transaction. These Terms and the incorporated Privacy Policy are the entire agreement regarding ordinary public Website use, except for a separate agreement that controls its own subject.
TPS may revise these Terms by posting an updated version with a new "Last updated" date. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law. Material changes may receive additional notice when required.
